Vendor Listing Agreement

2. Listing accuracy
The provider will maintain accurate:
- Legal business name
- Contact information
- Locations
- Service descriptions
- Prices and fees
- Availability
- License and registration information
- Ownership and affiliations
- Accessibility information
- Disclosures required by law
3. Licensing and compliance
The provider represents that it holds all licenses, permits, registrations, and insurance required for its services, and that it will comply with federal, state, and local law.
The provider will promptly notify AndWithYou of any expiration, suspension, investigation, disciplinary action, closure, or other material change in status.
4. General Price Lists
The provider confirms that every submitted General Price List or other price document is current, complete, authorized, and legally compliant, and will supply updated documents when prices or required disclosures change.
AndWithYou may display, summarize, structure, or compare submitted pricing. AndWithYou does not certify submitted pricing as accurate.
5. Leads and consumer relationships
The provider is solely responsible for responding to consumers, delivering services, executing contracts, collecting payments, handling complaints, and meeting professional obligations.
AndWithYou is not a party to any contract between a provider and a consumer.
6. Fees and referrals
No commission, referral, or lead fee is currently in effect, and none is activated by accepting this agreement.
If commercial terms are introduced, they will be set out in a commercial schedule that identifies the subscription or listing fee, referral or lead fee, commission calculation, attribution window, payment timing, refunds and chargebacks, taxes, termination effects, prohibited steering, and the consumer disclosure required.
7. Reviews
Fake, purchased, retaliatory, or selectively suppressed reviews are prohibited. Providers may respond professionally to reviews and may report a review that violates our published standards.
8. Monitoring and removal
AndWithYou may request verification, correct obvious errors, add warnings, suspend a claim, reduce visibility, or remove a listing based on credible evidence of inaccuracy, expired licensing, fraud, consumer harm, nonpayment, or legal violations.
Where appropriate we give notice and an appeal path. We may suspend a listing immediately where there is a safety or legal risk.
9. Data protection
Providers may use consumer information only to respond to the consumer's request and provide the requested service. Resale, unrelated marketing, discriminatory use, and unauthorized disclosure are prohibited.
10. Intellectual property
The provider grants AndWithYou a nonexclusive license to display submitted names, logos, descriptions, pricing, documents, and other listing materials for the purpose of operating and promoting the directory.
11. Indemnification
The provider will defend and indemnify AndWithYou against third-party claims arising from the provider's services, inaccurate submissions, licensing failures, legal violations, consumer contracts, negligence, misconduct, or infringement.
This does not extend to claims caused by AndWithYou's own unlawful conduct where the law does not permit such indemnity.
12. Limitation of liability
To the maximum extent permitted by law, AndWithYou LLC will not be liable to a provider for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or opportunities. Aggregate liability will not exceed the greater of $100 or the fees the provider paid to AndWithYou during the 12 months preceding the event giving rise to the claim. These limitations do not apply where prohibited by law.
13. Termination
Either party may terminate in accordance with the applicable commercial plan. AndWithYou may suspend a listing immediately for safety, fraud, licensing, privacy, security, or legal concerns.
14. Governing law
This agreement is governed by the laws of the State of California, with venue in the courts located in Orange County, California, unless a signed commercial agreement states otherwise.
15. Record of acceptance
We record the provider, the authorized representative, the time of acceptance, the version of this agreement, the accepted commercial schedule, and the originating IP address where lawful.
